Terms and Conditions

This Recruiter Marketplace Terms and Conditions ("Agreement") is entered into by and between Mamba Technologies s.r.o., ("Platform", "we", "us", or "our") and the recruiter ("Recruiter", "you", or "your") utilizing our marketplace platform ("Marketplace") for freelance recruitment services.By signing up and using the Platform, you agree to the following terms:

1. Use of Information

1.1 Public Disclosure
You acknowledge and agree that we may use and display your profile and information, including your name, bio, work experience, skills, and placement history, on the Platform for public viewing unless you request, in writing, for your profile or information to be removed.

1.2 Right to Share Information
By submitting any candidate profiles, data, or work through the Platform, you grant us the right to share the information with the end customers you are connected to through the Platform. This includes, but is not limited to, publicly listing candidate profiles, resumes, and work history to the customer.

2. Customer Relationship and Penalties

2.1 Ownership of Customer Relationships
You acknowledge and agree that Mamba Technologies s.r.o. owns the relationship with the end customer, and you are introduced to the customer through our Platform solely for the purpose of providing recruitment services on behalf of the customer.

2.2 Penalty for Unauthorized Placements
If you place any candidate directly with the customer without our involvement or outside of the Platform, you may be subject to a penalty fee of up to €50,000 EUR per candidate placed, payable to Mamba Technologies s.r.o..

2.3 Exclusivity and Non-Circumvention
You agree not to pursue or contact customers for your personal commercial relationships for up to two years after an introduction via our Platform. During this period, you may not solicit or conduct business with any client that was introduced to you through the Platform without our explicit written permission.

3. Candidate Submissions and Poaching

3.1 Submission of Candidates
When submitting candidates to customers through the Platform, you acknowledge that all candidate data and submissions belong to Mamba Technologies s.r.o..

3.2 Poaching Prohibition
You agree not to directly or indirectly contact or "poach" any candidate who was placed with the customer for a period of two years from the date of the placement.

4. Liability and Financial Responsibility

4.1 No Liability
You agree that Mamba Technologies s.r.o. is not liable for any damages, losses, or costs incurred by you or any third party as a result of your actions or the services provided on the Platform.

4.2 Fee Structure and Payments
You acknowledge that Mamba Technologies s.r.o. will receive 20% of your fee for any placements made through the Platform. All revenue will pass through our Platform, and you will be paid after the agreed probation period for fulfillment.

4.3 Independent Contractor Status
As a freelance recruiter, you are responsible for your own taxes, legal setup, licenses, and any other fiscal obligations in your jurisdiction. We are not your employer, and you agree to take full responsibility for ensuring your recruitment activities comply with local laws.

5. Conduct and Reputation

5.1 No Tarnishing of Reputation
You agree not to engage in any actions that could tarnish the reputation of Mamba Technologies s.r.o., the Platform, or the services we offer. This includes defamation, malicious actions, or other activities that could negatively impact our business.

5.2 Misrepresentation
You agree not to falsely represent your skills, qualifications, or experience in any way on the Platform. All information submitted must be accurate and truthful.

6. Legal Requirements and Jurisdiction

6.1 Licenses and Legal Compliance
You acknowledge that you must have the necessary licenses and qualifications to operate as a freelance recruiter in your jurisdiction. If you do not hold the required licenses, you take full personal liability for any legal consequences that may arise.

6.2 Jurisdiction
This Agreement shall be governed by the laws of the Czech Republic. Any disputes arising from this Agreement shall be resolved in the appropriate courts in Prague, Czech Republic.

7. Data Protection and GDPR

7.1 GDPR Compliance
By using the Platform, you agree to comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws. You grant us permission to store your data, including candidate data, for up to 24 months after registration.

7.2 Responsibility for Data
You acknowledge that you are responsible for ensuring that all data you submit to the Platform complies with applicable data protection laws, and you accept liability for any GDPR breaches caused by your actions on the Platform.

8. Miscellaneous

8.1 Entire Agreement
This Agreement constitutes the entire understanding between you and Mamba Technologies s.r.o. and supersedes all prior discussions, understandings, and agreements regarding the subject matter of this Agreement.

8.2 Amendments
We reserve the right to amend or update these Terms and Conditions at any time. Any changes will be communicated to you in writing, and your continued use of the Platform will constitute acceptance of these changes.

*By accepting this Agreement and continuing to use the Platform, you acknowledge that you have read, understood, and agree to all of the terms outlined above.
