5.1 No Liability
You agree that Mamba Technologies s.r.o. is not liable for any damages, losses, or costs incurred by you or any third party as a result of your actions or the services provided on the Platform.
To the maximum extent permitted by applicable law, Mamba Technologies s.r.o. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from your use of the Platform. The total liability of Mamba Technologies s.r.o. for any claim under this Agreement, including for any implied warranties, is limited to the amount paid to the Recruiter by us under section 5.2 in the 12 months prior to the act that gave rise to the liability, except for wilful misconduct and gross negligence.
5.2 Fee Structure and Payments
You acknowledge that any fees for Candidate placements made through the Platform will be paid directly to us. There will be no direct contractual relationship between you and the Customer. Your fee will be determined as a percentage of the amount collected by us for the Services you provide to us in relation to the specific Customer. Payment will be made after the collection of such amount by us. Payments shall be made within 30 days of receipt of an invoice fulfilling all legal requirements.
5.3 Independent Contractor Status
As a freelance Recruiter and independent entrepreneur, you are responsible for your own taxes, legal setup, licenses, and any other fiscal obligations in your jurisdiction. We are not your employer, and you agree to take full responsibility for ensuring your recruitment activities comply with local laws. Failure to comply may result in legal consequences and termination of Platform access.
5.4 Indemnification
You agree to indemnify, defend, and hold harmless Mamba Technologies s.r.o., its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Platform, your violation of the Agreement, or your violation of any rights of another.
